The Scent Trader — Platform Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of The Scent Trader platform ("Platform"), operated by yRAK Ltd ("we", "us", "our"). By registering an account or using the Platform, you agree to be bound by these Terms in full. If you do not agree, you must not use the Platform.
1. Definitions
- Platform means the website, dashboards, APIs and services provided at thescenttrader.com and any associated subdomains.
- User means any individual or business entity that registers an account on the Platform.
- Wholesaler / Producer means a User who lists products for sale on the Platform.
- Retailer means a User who browses, enquires about, or purchases products through the Platform.
- Listing means a product or batch offered for sale by a Wholesaler or Producer.
- Order means a confirmed purchase transaction between a Retailer and a Wholesaler or Producer facilitated by the Platform.
- Commission means the percentage fee charged by the Platform on the value of a completed Order.
- Verified Seller Badge means a status indicator awarded by the Platform following successful completion of our seller verification process.
2. Eligibility and Registration
2.1 The Platform is intended for business use only. By registering, you confirm that you are acting in the course of a trade, business, or profession and not as a consumer.
2.2 You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of your business.
2.3 You agree to provide accurate, complete, and current information during registration, including valid business registration details, and to keep this information updated.
2.4 We reserve the right to reject any registration application or suspend any account at our sole discretion, including where we have reason to believe the information provided is false, misleading, or incomplete.
3. Seller Verification
3.1 Wholesalers and Producers who wish to obtain a Verified Seller Badge must submit valid business documentation as requested by the Platform, which may include business registration certificates, VAT registration numbers, and other evidence of legitimate trading activity.
3.2 Verification is carried out at our discretion and does not constitute a guarantee or warranty of a seller's products, conduct, or financial standing.
3.3 We reserve the right to withdraw a Verified Seller Badge at any time if we have reason to believe the seller is in breach of these Terms or no longer meets our verification criteria.
4. Prohibited Items — Authenticity and Anti-Counterfeit Policy
4.1 Sellers are strictly prohibited from listing, offering, selling, or supplying any counterfeit, fake, imitation, or non-genuine products on the Platform. This includes, without limitation:
- Products bearing a brand name, trademark, or trade dress that the seller does not have the legal right to use or sell;
- Products marketed or described as genuine that are not authentic originals from the brand owner or an authorised distributor;
- Products with altered, removed, or tampered batch codes, barcodes, or authentication markers;
- Products falsely described as discontinued, limited-edition, or exclusive stock.
4.2 Any Listing must accurately represent the product being offered. Sellers must be able to demonstrate the provenance and authenticity of their stock upon request by the Platform or a Retailer.
4.3 Breach of this clause constitutes a material breach of these Terms and will result in immediate suspension or permanent removal of the seller's account, cancellation of all active Listings and Orders, and forfeiture of any pending payouts at our discretion. We reserve the right to report such activity to relevant trading standards authorities and brand rights holders.
4.4 Retailers who become aware that a product they have received may be counterfeit or non-genuine must notify us immediately at support@thescenttrader.com.
5. Non-Circumvention
5.1 The Platform exists to facilitate and protect commercial relationships between buyers and sellers. Users agree that they will not, directly or indirectly, circumvent, avoid, bypass, or obviate the Platform's role in any transaction introduced, facilitated, or initiated through the Platform.
5.2 Without limitation, circumvention includes:
- Contacting a buyer or seller introduced through the Platform and completing a transaction for the same or similar products outside of the Platform within 24 months of the introduction;
- Sharing contact details, websites, or payment methods with the express or implied purpose of completing a transaction outside the Platform;
- Using information obtained through the Platform to establish a direct commercial relationship that excludes the Platform.
5.3 Where circumvention is identified, we reserve the right to charge the equivalent Commission that would have been due on the estimated transaction value, and to pursue any further remedies available to us in law.
5.4 This clause survives termination of your account.
6. Commission and Fees
6.1 The Platform charges a Commission on each completed Order. The applicable Commission rate is determined by the seller's active subscription tier at the time of the Order, as published on the Platform's Pricing page.
6.2 Commission is deducted automatically from the Order value before payment is disbursed to the seller.
6.3 Commission rates, subscription fees, plan details, and included features are subject to change. Unless we tell you otherwise, changes affecting an active paid subscription will take effect from the next billing month.
6.4 No Commission is payable on Orders that are cancelled prior to fulfilment, subject to our cancellation and refund policy.
6.5 All fees and Commission are exclusive of VAT unless stated otherwise.
7. Subscription Tiers
7.1 Sellers may access the Platform on one of several subscription tiers, as published on the Pricing page. Each tier determines the applicable Commission rate and access to additional features.
7.2 Subscriptions are charged monthly in advance. Failure to maintain an active subscription may result in the downgrade of the account to the Starter (free) tier.
7.3 We offer no refunds on subscription fees for partial months.
8. Orders and Fulfilment
8.1 A binding contract for the sale and purchase of products is formed between the Retailer and the Wholesaler or Producer at the point an Order is confirmed on the Platform. The Platform acts as agent only and is not a party to the underlying sale contract.
8.2 Sellers are responsible for accurate stock availability, pricing, minimum order quantities, and delivery lead times stated in their Listings.
8.3 Sellers must dispatch Orders within the timeframe stated in their Listing or as otherwise agreed with the Retailer. Failure to fulfil confirmed Orders may result in account suspension.
8.4 Title and risk in the goods passes from seller to buyer in accordance with the agreed delivery terms at the point of dispatch.
9. Payments
9.1 Payments are processed through our third-party payment provider, Stripe. By using the Platform, you agree to Stripe's applicable Terms of Service.
9.2 Sellers must complete Stripe Connect onboarding before receiving payouts. We are not responsible for delays caused by incomplete Stripe onboarding.
9.3 Payouts to sellers are made following confirmation of successful delivery or after the applicable grace period, as determined by our payout policy.
10. Dispute Resolution
10.1 In the event of a dispute between a Retailer and a Seller, both parties agree to first attempt to resolve the matter directly and in good faith.
10.2 Where a dispute cannot be resolved directly, either party may escalate the matter to the Platform by contacting support@thescenttrader.com. We will endeavour to assist in reaching a resolution but are not obligated to act as arbitrator.
10.3 We reserve the right to withhold payouts to a seller where a legitimate dispute has been raised by a Retailer, pending resolution.
11. Intellectual Property
11.1 All content, trademarks, designs, and software on the Platform are the property of yRAK Ltd or our licensors and are protected by applicable intellectual property laws.
11.2 Users retain ownership of content they upload to the Platform (such as product images and descriptions) but grant us a non-exclusive, royalty-free licence to use, reproduce, and display that content for the purposes of operating the Platform.
11.3 You must not upload content to which you do not hold the rights, including brand imagery or trademarks that you are not authorised to use.
12. Limitation of Liability
12.1 The Platform is provided on an "as is" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities.
12.2 To the fullest extent permitted by law, we exclude all liability for indirect, consequential, or special losses arising from your use of the Platform, including loss of profit, loss of revenue, or loss of data.
12.3 Our total aggregate liability to any User in respect of any claim arising out of or in connection with these Terms shall not exceed the total fees paid by that User to us in the 12 months preceding the claim.
12.4 Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.
13. Termination
13.1 You may close your account at any time by contacting us at support@thescenttrader.com. Closure does not affect any Orders already placed or in progress.
13.2 We may suspend or terminate your account immediately and without notice if you are in material breach of these Terms, if we have reason to believe you have engaged in fraudulent or unlawful activity, or if your use of the Platform poses a risk to other Users.
13.3 Clauses 4 (Anti-Counterfeit), 5 (Non-Circumvention), 6 (Commission), and 11 (Intellectual Property) survive termination.
14. Governing Law
14.1 These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
15.1 We may update these Terms from time to time. We will notify registered Users of material changes by email or by displaying a notice on the Platform. Continued use of the Platform following notification of changes constitutes acceptance of the updated Terms.
